DAKHLAOUI & PARTNERS assists the European Bank of Reconstruction and Development as part of the Company Vermeg SOLUTIONS financing transaction

Dakhlaoui & Partners advised EBRD in the framework of financing the Vermeg Group, a global provider of financial and insurance software, with a view to acquisition via a public offering of purchase of “Lombard Risk” a company under English law.

The operation is for an amount of twenty-five (25) million Euros.

The firm's intervention is focused on:

• The completion of a legal audit;
• Negotiation and drafting of financing documentation, including (i) the loan agreement, (ii) the intergroup loan agreement, as well as (iii) the subordination agreement;
•  The firm has also drawn up a legal opinion for the purposes of the financing operation.
